Investment Banker Charged with Insider Trading in Manhattan

Geoffrey S. Berman, the United States Attorney for the Southern District of New York, and William F. Sweeney Jr., the Assistant Director-in-Charge of the New York Field Office of the FBI, announced yesterday that Bill Tsai, an analyst at an investment bank with offices in Manhattan, was arrested and charged with insider trading. Tsai is accused of making profits from options trading based on material, non-public information he misappropriated from his employer.

According to the allegations, Tsai used confidential information about a pending acquisition to purchase call options in a publicly traded company, Electronics for Imaging, Inc. (EFI). He allegedly purchased 187 EFI call options between March 29 and April 12, 2019, for a total price of approximately $28,410. Tsai’s trading activity resulted in a profit of approximately $98,750 after the public announcement of the acquisition on April 15, 2019.

Manhattan U.S. Attorney Geoffrey S. Berman praised the investigative work of the FBI and thanked the Securities and Exchange Commission, which has filed civil charges in a separate action. The case is being handled by the Office’s Securities and Commodities Fraud Task Force, with Assistant U.S. Attorneys Robert L. Boone and Gina Castellano in charge of the prosecution.

Tsai faces one count of securities fraud, which carries a maximum sentence of 20 years in prison. The charges against him are merely accusations, and he is presumed innocent unless proven guilty.

The case highlights the importance of maintaining confidentiality and adhering to company policies, particularly in the financial industry. It also underscores the commitment of law enforcement agencies to investigating and prosecuting insider trading cases.

Tsai will be presented in Manhattan federal court before United States Magistrate Judge Henry Pitman.
