The Commodity Futures Trading Commission (CFTC) has filed a civil enforcement action against KuCoin and its affiliated companies – Mek Global Limited, PhoenixFin PTE Ltd., Flashdot Limited, and Peken Global Limited – alleging multiple violations of commodity trading regulations. The case was filed in the U.S. District Court for the Southern District of New York.
According to the CFTC complaint, KuCoin illegally offered and executed off-exchange commodity futures and leveraged retail transactions to U.S. customers between approximately July 2019 and June 2023. The agency alleges KuCoin failed to register as a futures commission merchant (FCM), swap execution facility (SEF), or designated contract market (DCM), and did not adequately supervise its activities.
The CFTC also claims KuCoin failed to implement an effective customer identification program (CIP), despite asserting it had KYC procedures in place. The agency alleges these procedures were ineffective and allowed U.S. customers to trade on the platform undetected. Specifically, KuCoin did not implement IP address restrictions or account for technologies like VPNs that could bypass such restrictions.
The CFTC is seeking disgorgement of ill-gotten gains, civil monetary penalties, permanent trading and registration bans, and a permanent injunction against further violations. Director of Enforcement Ian McGinley stated the CFTC is actively pursuing unregistered offshore crypto exchanges offering derivative products to U.S. citizens.
In a related criminal case, the U.S. Attorney’s Office for the Southern District of New York has indicted PhoenixFin PTE Ltd., Flashdot Limited, and Peken Global Limited, charging them with violating the Bank Secrecy Act, operating an unlicensed money transmitting business, and conspiracy to violate these laws. The CFTC’s action underscores a growing crackdown on unregistered cryptocurrency exchanges and their failure to comply with U.S. financial regulations.
