New York, NY – The Commodity Futures Trading Commission (CFTC) has levied a $175,000 penalty against Universal Navigation Inc., doing business as Uniswap Labs, for offering illegal leveraged commodity transactions in digital assets. The charges stem from the company’s decentralized digital asset trading protocol, which allowed retail investors to trade leveraged tokens without proper registration.

According to the CFTC order, Uniswap Labs facilitated the trading of digital assets, including leveraged tokens offering exposure to cryptocurrencies like Ether and Bitcoin, through a web interface connected to the Ethereum blockchain. These leveraged tokens, the CFTC argues, constitute leveraged or margined commodity transactions. Because these transactions didn’t result in actual delivery within 28 days, they were required to be offered on a CFTC-designated exchange – a requirement Uniswap Labs failed to meet.

The CFTC’s enforcement action highlights a growing scrutiny of the decentralized finance (DeFi) sector. Director of Enforcement Ian McGinley stated the agency “will vigorously enforce the CEA as digital asset platforms and DeFi ecosystems evolve,” emphasizing the need for DeFi operators to ensure legal compliance. The agency specifically noted Uniswap Labs’ cooperation during the investigation resulted in a reduced penalty.

The investigation revealed that Uniswap Labs developed and maintained the web interface that gave users access to trade in hundreds of liquidity pools. The agency contends that these pools, paired with the leveraged tokens, created unregistered commodity transactions available to both retail and institutional users in the U.S. and internationally.

The CFTC urges the public to verify the registration status of any company offering commodity trading services through the NFA BASIC system, available at cftc.gov/check.
