KalshiEX LLC, Unregistered Securities Sales, District of Columbia 2021

Washington, D.C. – The Commodity Futures Trading Commission (CFTC) has granted temporary regulatory relief to KalshiEX LLC and LedgerX, LLC, exempting them from standard swap data reporting and recordkeeping requirements. The decision, announced on April 22, 2021, centers around binary option transactions executed on the Kalshi exchange and cleared through LedgerX.

The CFTC’s Division of Data, Division of Market Oversight, and Division of Clearing and Risk jointly issued the “no-action relief,” effectively allowing the companies to bypass certain reporting obligations to swap data repositories. This exemption also extends to specific recordkeeping requirements typically mandated for designated contract markets and derivatives clearing organizations.

According to the CFTC, the relief is narrowly tailored and applies only to a limited range of transactions. It mirrors previously granted exceptions to other similar entities. The move aims to streamline operations for Kalshi and LedgerX without compromising regulatory oversight, according to officials.

The conditions attached to the relief are stringent. The CFTC has stipulated that the exemptions are granted subject to ongoing monitoring and compliance with existing regulations concerning market integrity and investor protection. Details of these conditions were not fully disclosed in the public announcement but are understood to involve specific limitations on the types and volume of transactions covered by the relief.

While not a penalty or enforcement action, the granting of no-action relief signifies a degree of flexibility within the CFTC regarding the application of reporting rules to evolving financial instruments like binary options. Industry analysts suggest this move could pave the way for further innovation in the digital asset and derivatives markets, provided companies adhere to the stipulated conditions.

Neither KalshiEX LLC nor LedgerX, LLC immediately responded to requests for comment. The CFTC stated that the relief remains in effect until further notice and is subject to review and potential modification.
